Faraday Future cancels 21 million warrants to reduce debt and dilution
Faraday Future Intelligent Electric Inc. has entered into incremental warrant termination agreements with investors from its March 2025 financing. The company has canceled 21,021,369 outstanding incremental warrants that were issued during the first through third closings of that financing round.
This move is intended to permanently remove the potential for equity dilution associated with the future exercise of these warrants. Based on a $5.00 conversion floor price, the cancellation of these specific warrants could have resulted in a maximum potential dilution of approximately 45%. Combined with a previous agreement reached on August 20 to cancel obligations regarding common stock warrants, the company estimates it has eliminated approximately 57.48% of the potential dilution related to the March 2025 financing.
Beyond addressing dilution, these actions are part of a broader effort to reduce debt and optimize the company's capital structure. The company expects these arrangements to reduce its disclosed liabilities by approximately $5.79 million, as valued in its second-quarter financial reports. Global Executive Chairman Jerry Wang stated that these measures are part of the company's commitment to returning capital value and improving its financial position.
