Fidelity Bank Ghana seeks approval for IPO and GSE listing
Fidelity Bank Ghana has requested shareholder approval to launch an Initial Public Offering (IPO) and list its ordinary shares on the Main Market of the Ghana Stock Exchange (GSE). The move aims to transition the institution from a privately owned bank to a publicly listed entity, allowing individual and institutional investors to acquire ownership.
Proposed resolutions include authorizing the board to manage the listing process and setting parameters such as share price and volume. The bank also plans to transfer 36 million cedis to its share capital and execute a free issue of up to 732.25 million ordinary shares to existing shareholders on a pro-rata basis. Shareholders will also be asked to adopt new statutes to comply with public listing requirements and waive certain pre-emption rights.
The bank, which serves over two million customers through 82 branches, has reported strong financial growth. For 2025, Fidelity reported a profit before tax of GH¢1.46 billion, representing a 21 percent increase from GH¢1.21 billion in 2024.
