Fincantieri signs share agreement with NextGeo reinvestor shareholders

Fincantieri has signed the expected agreement with the reinvestor shareholders of NextGeo Solutions Europe following the acquisition announced on 6 July. The reinvestors will sell more than 70 % of the shares they currently hold, amounting to a 4.13 % stake in NextGeo’s capital, which will be transferred to Fincantieri on execution. The deal also provides for a gradual exit of the shareholders through put and call options aligned with the approval of the 2027‑2029 financial statements.

CEO Pierroberto Folgiero said the transaction supports Fincantieri’s goal of building the first European platform able to operate, connect, protect and govern the underwater domain using services, drones, sensors, communications, defence systems and strategic platforms. The agreement forms part of the shipbuilder’s broader strategy to create an international leader in underwater technology.
