Frasers Group acquires majority stake in Hugo Boss

The British retail conglomerate Frasers Group, controlled by billionaire Mike Ashley, has acquired a majority stake in the German fashion house Hugo Boss. By purchasing an additional 198,666 shares for approximately €7.6 million at €38.41 per share, Frasers has increased its holding to 50.08% of the company's share capital.

As a result of crossing the 50% threshold, Hugo Boss will become a subsidiary of Frasers Group, with its financial results, assets, and liabilities consolidated into the parent company's accounts. This move follows a previously rejected €2 billion takeover bid in June, which Hugo Boss management had deemed financially inadequate.

The acquisition is part of Frasers Group's broader strategic expansion into the premium and luxury fashion markets, adding to its existing portfolio that includes brands such as Flannels, Harvey Nichols, and stakes in Burberry and Under Armour. While the change in ownership is significant for corporate control and accounting, Hugo Boss representatives stated that no immediate operational changes to the business or its 20,000 global employees have been announced.
