Fratelli Neri to control Terminal Marittimo Livorno after antitrust approval

The Italian Competition Authority (AGCM) has approved an operation that grants Fratelli Neri and Cilp S.r.l. control over Terminal Marittimo Livorno (TML). The deal involves the transfer of port activities located in the Darsena Uno area of the Port of Livorno to TML.

Darsena Uno is a strategic area spanning nearly 88,000 square meters, primarily used for Ro-Ro (roll-on/roll-off) traffic, including the movement and parking of trailers and semi-trailers. The transaction will be executed in two stages: first, Livorno Terminal Marittimo Autostrade del Mare (LTM) will transfer its Darsena Uno business unit to TML, followed by a reserved capital increase.

Upon completion, Fratelli Neri and Cilp will hold a combined 66.67% stake in TML, while LTM will retain the remaining 33.33%. The AGCM concluded that Fratelli Neri will exercise exclusive control over the company, as the governance structure does not grant LTM veto rights over strategic or commercial decisions.
