Freelance framework agreements in Germany: Legal considerations

Framework agreements can reduce bureaucracy for freelancers and clients by establishing standing terms for future individual assignments. These agreements typically cover conditions such as hourly or daily rates, liability, confidentiality, and usage rights. While they provide a stable foundation for ongoing business relationships, they do not automatically guarantee a specific volume of work or mandate that a freelancer must accept every offer, unless explicitly stated.

However, legal experts warn that these contracts can increase the risk of ‘pseudo-self-employment’ (Scheinselbstständigkeit). If a framework agreement leads to a relationship that resembles dependent employment, both the client and the freelancer may face severe legal and financial consequences during social security audits.

Key indicators that may suggest improper employment status include fixed requirements regarding working hours and locations, performing work exclusively at the client's premises, the provision of company equipment (such as a corporate PC), extensive reporting obligations, and integration into the client's internal organizational processes, such as mandatory participation in team meetings.
