Freshworks to acquire Torii to expand AI spend governance

Freshworks has signed a definitive agreement to acquire Torii, a SaaS management platform founded in 2017. The acquisition is intended to expand Freshworks’ IT service management tool, Freshservice, into the realms of software management and AI spend governance.

Torii provides enterprises with visibility into applications, licenses, identities, and costs. Notably, the platform tracks AI consumption at the token level, allowing organizations to attribute usage to specific teams, forecast future spending, and set budget limits to prevent unexpected cost spikes. By integrating these capabilities, Freshworks aims to help IT and finance departments move away from manual spreadsheet reconciliation toward real-time analytics.

The transaction is expected to close during Freshworks’ fourth fiscal quarter of 2026, subject to customary closing conditions. Financial terms of the deal have not been disclosed.
