Gamma Communications agrees to £1bn takeover by Epiris

Gamma Communications has agreed to a cash acquisition by the private equity firm Epiris in a deal valued at approximately £1.015 billion. The takeover, executed through Bradbury Bidco Limited, would take the B2B communications provider private.

The offer provides shareholders with £11.20 per share, representing a 53 per cent premium over the company's share price on April 7. The total enterprise value of the transaction is estimated at roughly £1.079 billion. Gamma's board has unanimously recommended the deal, stating it provides attractive and certain value for shareholders.

Epiris highlighted Gamma's strong market positions in the United Kingdom and Germany, as well as its relationships with small and medium-sized enterprises. The firm intends to drive further growth through increased investments in innovation, new products, and the application of artificial intelligence. While the Epiris offer has been accepted, Waterland maintains the right to submit a rival bid until September 18.
