Global Payments completes $24.25 billion Worldpay acquisition

Global Payments has finalized its acquisition of Worldpay from FIS and GTCR. As part of the transaction, the company divested its Issuer Solutions business to FIS for $13.5 billion, a deal structured as cash plus FIS’s 45% stake in Worldpay, valued at $6.6 billion.

To complete the acquisition of the remaining Worldpay stake from GTCR, Global Payments utilized cash, a new $7.7 billion debt issuance, and stock. Following the close, GTCR will hold approximately a 15% equity stake in Global Payments to participate in future growth and synergies.

The combined entity aims to serve over 6 million merchant locations, processing approximately $3.7 trillion in payment volume and 94 billion transactions annually across more than 175 countries. CEO Cameron Bready stated the move expands the company’s capabilities and geographic reach.
