Goldman Sachs executives indicted in Brazil fraud probe
The São Paulo Civil Police have formally indicted two Goldman Sachs executives, Felipe Guerra Acosta and Natan Lima Reinig, for suspected fraud and larceny involving the cancer treatment group Oncoclínicas. The investigation focuses on an alleged scheme to manipulate corporate ownership information to avoid a mandatory public tender offer (OPA).
Authorities allege the executives used a “false reconstruction” of the company’s ownership structure to mislead Oncoclínicas, the Brazilian securities regulator (CVM), and the B3 stock exchange. Specifically, police suspect the bank may have concealed that a significant portion of the ownership stake attributed to Goldman Sachs actually belonged to the U.S.-based fund manager Centaurus Capital. This maneuver allegedly allowed major shareholders to maintain control above the 15% threshold required by the company’s bylaws without triggering the mandatory buyout of minority shareholders, a mechanism known as a “poison pill.”
Goldman Sachs has denied any wrongdoing, stating that the allegations are unfounded and that the firm acted appropriately. The indictment, which includes charges under articles 171 and 177 of the Brazilian Penal Code, marks a significant escalation in a dispute that has long concerned minority investors regarding corporate governance and transparency.
