GoPro to merge with Starman Optical in $285 million AI and defense pivot

GoPro has entered into a definitive agreement to merge with Starman Optical, a private U.S. optical-photonics company. The deal, valued at $285 million in cash, provides GoPro shareholders with $1.14 per share while allowing them to retain approximately 10% ownership of the combined entity. As part of the transaction, Starman Optical will also settle GoPro’s existing $92 million debt.

The merger marks a major strategic pivot for the action-camera manufacturer. While GoPro intends to continue supporting its consumer products, subscription services, and cloud platforms, the company will expand its focus into high-growth sectors including AI data center infrastructure, defense, government, robotics, and aerospace. Starman Optical specializes in manufacturing optical transceivers, which are critical for high-speed data transmission in AI-driven environments.

This transformation comes after a period of significant financial difficulty for GoPro, characterized by declining sales and a sharp drop in market value that had previously raised concerns about its ability to continue operating. The combined company will remain publicly listed on the Nasdaq.
