GoPro to merge with Starman Optical in $285 million deal
GoPro has entered into a definitive merger agreement with Starman Optical, a private U.S. photonics company, in a deal valued at $285 million. Under the terms of the agreement, GoPro shareholders will receive $1.14 per share in cash and will collectively retain approximately 10% ownership of the combined entity. The transaction is expected to be completed by the end of 2026, pending regulatory and shareholder approvals.
The merger is designed to provide a significant financial reset for GoPro, which has faced declining revenues and intense competition. The deal will allow the company to repay approximately $92 million in outstanding debt. Beyond stabilizing its finances, the merger aims to pivot GoPro from a consumer-focused action camera manufacturer toward a provider of optical and imaging solutions for high-growth sectors, including AI data center infrastructure, defense, aerospace, robotics, and government markets.
Starman Optical brings expertise in manufacturing optical transceivers, which are critical for high-speed data transmission in AI environments. GoPro will contribute over 2,500 U.S. patents related to imaging and optical technologies. Despite this strategic shift, GoPro stated it will continue to support its existing consumer products, subscription services, and cloud platforms. The combined company will remain publicly listed on the Nasdaq.
