Hexagon to acquire Rocscience for $535 million

Hexagon has signed an agreement to acquire Toronto-based geotechnical analysis software developer Rocscience from TA Associates and the company’s founders and management. The transaction values the business at US$535 million on a cash-free, debt-free basis and is expected to close in the fourth quarter of 2026, subject to customary conditions.

Rocscience develops software used by mining, civil engineering, and energy customers in approximately 125 countries to model the behavior of rock, soil, and structures. Its technology assists in analyzing slope stability, ground movement, and the performance of tunnels, dams, and other critical infrastructure. The platform also features AI-assisted workflows and a natural-language interface.

Hexagon intends to integrate Rocscience’s simulation capabilities with its own sensor and radar monitoring technologies. This integration aims to create a continuous feedback loop where live sensor data informs and calibrates engineering models throughout the design, construction, and operational phases of a project. Rocscience will join the Radar & Monitoring Division within Hexagon’s Infrastructure & Geospatial Business Area.
