Hotei Properties shareholders face September 16 deadline for Sancus tender offer
Shareholders of the hotel SOCIMI Hotei Properties have until September 16 to decide on a tender offer (OPA) presented by Sancus Capital. The total operation involves a disbursement of 371 million euros to acquire 100% of the company.
In June, the firm led by Borja Escalada reached an agreement with Castlelake and other shareholders to initially acquire a 53.5% stake for approximately 198 million euros. Other significant shareholders include Arconas International (8.03%) and the Mutualidad General de Previsión de la Abogacía (5.05%).
The takeover remains conditional upon the sale of the Hotel Nomade Madrid, located on Gran Vía, for 105 million euros to GS Bacares Iberia, a company primarily owned by Nomade Partners. The parties have extended the deadline to formalize the sale of the hotel via public deed to September 4, 2026. The agreement also includes a guarantee amount of 7.5 million euros, which serves as a penalty if the transaction fails to close due to the fault of either party.
