Frasers Group bids €2 bn cash for remaining Hugo Boss shares
Frasers Group, the UK retail conglomerate controlled by billionaire Mike Ashley, which already owns about 26 % of German fashion house Hugo Boss, has launched a voluntary public cash offer for the remaining roughly 74 % of the company. The bid proposes €38 per share – a premium of about 4 % over Hugo Boss’s closing price of €36.44 – valuing the outstanding equity at roughly €1.98 billion (€2 billion total). The offer triggers German takeover rules that require a mandatory bid if Frasers’ stake exceeds 30 %. Hugo Boss said the proposal was unsolicited and will be examined in the best interests of shareholders, employees and customers. The announcement sent Hugo Boss shares up more than 6 % to above the offer price, while Frasers shares rose about 4 %. Analysts note the modest premium, potential for a higher bid, and the strategic aim of adding a premium brand to Frasers’ portfolio. Financing is in place and the transaction is expected to close in the second half of 2026, subject to shareholder approval and regulatory clearance.
