ICSID tribunal issues final award in Banesco v. Panama dispute

An ICSID arbitral tribunal has issued its final award in the proceedings brought by Banesco Holding Latinoamérica, S. A. (BHL) and Banesco (Panamá), S. A. against the Republic of Panama. The dispute originated from Panama’s administration and enforcement of public-works surety bonds.

The tribunal accepted jurisdiction over the claims made by BHL, a Spanish-incorporated company, but declined jurisdiction over the claims made by Banesco Panama. Ultimately, the tribunal dismissed BHL’s claims on the merits. The case was brought under the Spain-Panama Bilateral Investment Treaty, with BHL alleging that Panama breached fair and equitable treatment obligations and engaged in arbitrary interference with investments.

The ruling provides legal clarity on several investment arbitration issues, including the distinction between an investment's protected status and a local company's standing to invoke jurisdiction, the role of regulatory ambiguity in assessing fair and equitable treatment, and the assessment of conduct under international law standards.
