IHCL to merge with Oriental Hotels Limited
Indian Hotels Company Limited (IHCL), owned by the Tata Group, has announced a merger with its associate company, Oriental Hotels Limited (OHL), through an all-stock transaction. The boards of both companies have approved a Scheme of Arrangement involving a share swap ratio of 25 IHCL shares for every 117 OHL shares.
The merger is part of IHCL’s ‘Accelerate 2030’ strategy, which aims to simplify the group’s holding structure and unlock the potential of the OHL portfolio. OHL manages seven hotels with 825 rooms, including notable assets such as Taj Coromandel in Chennai, Taj Fisherman’s Cove Resort & Spa in Chennai, and Taj Malabar Resort & Spa in Cochin.
The transaction is expected to be completed in the second half of fiscal year 2028, with an appointed date of April 1, 2027. The scheme remains subject to statutory approvals and clearances.
