Independent oversight strengthens modern corporate governance

Independent oversight plays a critical role in modern corporate governance by strengthening board accountability and improving financial transparency through independent audit committees. Independent directors provide a layer of supervision that prevents boards from becoming too closely aligned with executives or controlling shareholders. Because they lack personal or financial ties to management, these directors can challenge proposals, demand clearer explanations for high-risk decisions, and introduce constructive skepticism regarding executive compensation and major acquisitions.

According to the Organisation for Economic Co-operation and Development (OECD), there is an increasing scope and frequency of national corporate governance reports. Since 2014, the number of national reports covering all code provisions and those covering all listed companies has doubled.
