Indra updates governance rules as Amber Capital reduces stake
Indra is implementing significant changes to its corporate governance and shareholder structure. The company's board of directors has updated its internal regulations to prevent conflicts of interest, specifically aiming to avoid a repeat of the previous crisis involving former president Escribano. The new rules establish firewalls to prevent directors from making decisions that benefit themselves or external entities and require the immediate disclosure of any direct or indirect conflicts.
Simultaneously, investment fund Amber Capital has reduced its stake in Indra to below the 5% threshold, dropping from a previous 5.4% and significantly lower than its peak of 7.24%. This move is reportedly a financial rebalancing following a massive rally in Indra's stock price, which saw the company become a top performer on the Ibex 35. Despite the reduction in ownership, Amber Capital retains its board seat through director Magdalena Bertram, who was requested by Indra's management to remain in her position.
