Intesa Sanpaolo tender offer vs MPS defensive measures
Professor Franco Paparella of Sapienza University has analyzed the differing impacts of Intesa Sanpaolo’s tender offer on MPS and the defensive measures proposed by MPS CEO Luigi Lovaglio.
Paparella argues that Intesa Sanpaolo’s operation creates new value for MPS shareholders by offering a 12.5% premium through an external third party. In contrast, the defensive maneuver by MPS—a distribution of 1.208 euros per share in cash and Generali shares—is characterized as a simple reallocation of existing assets rather than the creation of new wealth, as the resources originate from the bank's own equity.
