IperionX relocates headquarters to Texas and plans Nasdaq direct listing

IperionX (ASX:IPX) announced a plan to establish a Texas‑incorporated ultimate parent company and replace its U.S. depositary share structure with common stock listed directly on Nasdaq. The redomiciliation, pending shareholder, court, regulatory and exchange approvals, is intended to align the corporate structure with its U.S. operations, which include the Atlas‑Titan critical‑minerals platform in Tennessee, titanium production and advanced manufacturing in Virginia, and R&D in Utah.

CEO Taso Arima said the move will simplify investment for U.S. investors, broaden the shareholder base, improve trading liquidity and give the company better access to U.S. growth capital needed to scale a fully American titanium supply chain for defence and other strategic industries. The company also appointed Michael Loparco, former CEO of Symbotic and long‑time Jabil executive, as an independent non‑executive director effective 3 August 2026.

The announcement follows a 40 % drop in IperionX’s share price since the start of the year, with technical indicators suggesting the stock is oversold.
