American Airlines to acquire 8% stake in Azul following Cade approval

Brazil’s antitrust regulator, Cade, has unanimously approved American Airlines’ acquisition of approximately 8% of Azul’s capital. The US$ 100 million investment is part of Azul’s financial restructuring process under Chapter 11 in the United States.

The approval is contingent upon a Concentration Control Agreement (ACC) designed to mitigate competitive risks on routes between Brazil and the United States. Under the agreement, American Airlines will hold governance rights, including seats on Azul’s board of directors and strategic committee, but will be prohibited from accessing competitively sensitive information regarding pricing, capacity, or strategy in overlapping markets.

The decision follows challenges from the Abra Group, which controls Gol and Avianca, and concerns raised by IPSConsumo regarding the combined influence of American Airlines and United Airlines within Azul’s governance. The regulator noted that the ACC makes safeguards more robust and enforceable to prevent information sharing that could impact market competition.
