JES.GREEN Invest GmbH proposes bond maturity extension to 2031

JES.GREEN Invest GmbH, a company based in Broderstorf, Germany, has called for a vote among bondholders regarding its 2021/2026 unsecured debentures, which have a total nominal value of 7.159 million euros. The company was unable to repay the bond by its October 15, 2026, maturity date.

The proposed changes include extending the bond's term by five years to October 15, 2031, and increasing the annual interest rate from 5.00% to 6.00%. Additional proposals involve allowing the issuer to make annual partial repayments, restricting certain termination rights, and adjusting transparency obligations regarding the 2025 annual financial statements.

The voting period is scheduled to take place from November 5 to November 7, 2026. The company's financial situation has faced scrutiny, with previous audits noting significant risks and an equity deficit of approximately 527,000 euros in 2023. Structural challenges have been identified due to a mismatch between short-term bond obligations and long-term loans provided to subsidiaries.
