Kaos Capital demands board changes at Capricor Therapeutics

Kaos Capital Ltd., a significant shareholder of Capricor Therapeutics, Inc., has issued a letter to shareholders demanding an immediate meeting with the Board of Directors to discuss the company's strategic direction.

Kaos Capital is calling for increased cash preservation following reports that Capricor's cash, cash equivalents, and marketable securities fell to $237.9 million as of June 30, 2026, a decrease of approximately $80.2 million from the end of 2025. The shareholder also noted that general and administrative expenses in the first half of 2026 were approximately double those of the same period in 2025.

As part of its proposal, Kaos Capital intends to nominate two independent directors and seeks the establishment of a Board-led M&A and Strategic Alternatives Committee, which would be chaired by a director backed by shareholders.
