European Commission alleges KKR misled regulators in NetCo acquisition

The European Commission has issued a formal Statement of Objections to KKR, alleging the investment firm provided inaccurate or misleading information during its 2024 review of the NetCo acquisition. NetCo is the fixed-network business of Telecom Italia, which includes the primary and secondary broadband infrastructures managed via FiberCop.

The Commission’s preliminary findings suggest KKR misrepresented the terms of long-term wholesale access agreements. During the initial merger review, KKR asserted that existing contracts with third-party operators would remain unchanged and could not be modified unilaterally. However, following the deal's completion, rival operators filed grievances alleging that FiberCop implemented significant price increases.

If the allegations are proven, KKR could face a fine of up to 1% of its annual global turnover or the potential revocation of the 2024 merger approval. KKR has strongly contested the findings, maintaining the accuracy of its documentation and stating its intention to defend its position.
