Koç Holding to sell Tüpraş shares to Merrill Lynch for 6.16 billion TL

Koç Holding and its indirect partner, Temel Ticaret ve Yatırım, have decided to sell a combined total of approximately 16.02 million nominal value A-group shares in Tüpraş to Merrill Lynch International. The transaction is valued at approximately 6.16 billion TL, based on a price of 384.50 TL per 1 TL nominal value share.

Bank of America Investment Bank A.Ş. will submit an application to Borsa İstanbul (BIST) on September 2, 2026, to facilitate the wholesale transaction. Pending BIST approval, the sale is expected to take place on September 3, 2026, with settlement scheduled for September 7, 2026.

Following the completion of this sale, Koç Holding’s direct ownership in Tüpraş will be approximately 3.7%. The combined share of Koç Holding and its affiliate, Enerji Yatırımları, will be approximately 50.1%. Consequently, Tüpraş’s public float is expected to increase to 49.7%.
