LabelVie plans merger with Retail Holding and stock market exit

Moroccan distribution group LabelVie is preparing a restructuring project that involves its absorption by Retail Holding. The transaction, which includes the initial public offering of Retail Holding, will be submitted to shareholders for review during an extraordinary general meeting scheduled for November 20, 2026, in Skhirat.

The merger aims to consolidate the activities of both companies into a single entity listed on the Casablanca Stock Exchange. Under the proposed terms, LabelVie’s entire assets, valued at 24.19 billion dirhams with a net value of 12.46 billion dirhams, will be transferred to Retail Holding.

Shareholders of LabelVie will receive shares in the new listed company based on an exchange ratio of eight Retail Holding shares for every eleven LabelVie shares. The transaction is designed to ensure continuity for existing shareholders, allowing them to hold tradable securities in the new structure immediately upon completion.
