Legal and architectural debates in Chile and Uruguay

In Chile, legal academic Felipe Castro Azócar has raised concerns regarding the Business Judgment Rule proposed in the Capital Markets Reform Project (MK4). The rule, intended for the Corporations Law, aims to ensure judges review the decision-making process rather than the outcome. However, Azócar argues that the requirement for a “reasonable conviction of acting in the social interest” may inadvertently force judges to review the substance of business decisions, potentially undermining the rule's purpose. He suggests that adopting standards like “honest belief” or “good faith” might better align with the rule's intent.

In Uruguay, a new architectural approach is emerging for neighborhood-scale civic buildings. This trend focuses on budget efficiency, prioritizing functionality, durability, and community integration over monumental design. These projects aim to address equipment deficits in resource-limited areas by using resilient materials, low-maintenance finishes, and flexible programmatic designs that can adapt to various community needs over time.
