Liability and transition rules for Italian partnerships
In Italian law, the exit of a partner from a partnership (such as an Snc, Sas, or Ss) does not immediately terminate their liability for company debts. Because these entities involve unlimited and joint liability, a partner's personal assets remain at risk until the transfer of their share is officially made known to third parties through public channels. This transparency requirement ensures that creditors are not misled by hidden changes in the company's composition.
Furthermore, if a partnership is left with only one remaining partner and a new partner is not brought in within six months, the partnership is legally dissolved. In such cases, the surviving partner may choose to continue the business as an individual entrepreneur. This atypical transformation can occur with tax neutrality, provided the assets remain within the business regime and their recognized fiscal values are preserved, avoiding the immediate taxation of latent capital gains.
