Porsche SE wins final ruling in Volkswagen takeover legal battle

The German Federal Court of Justice (BGH) has issued a final ruling in the long-running legal battle regarding Porsche SE’s attempted takeover of Volkswagen. The court rejected appeals from investors who sought damages following the failed takeover attempt and subsequent market volatility in 2008.

By upholding a previous decision from the Higher Regional Court of Celle, the BGH concluded that Porsche SE did not act in a way that was contrary to public morals or grossly misleading toward the capital markets. The court ruled that Porsche had no legal or moral obligation to disclose its specific intentions regarding the expansion of its stake during the period in question.

The ruling effectively ends the model proceedings, providing legal certainty for the parties involved and preventing the issue from being reopened in court.
