Life Corporation to acquire Albis via 26.3 billion yen tender offer
Life Corporation has announced a tender offer (TOB) to acquire Albis, a supermarket chain based in the Hokuriku region. The acquisition price is set at 3,780 yen per share, with a total estimated transaction value of approximately 26.3 billion yen. The offer period runs from September 9 to November 10, and Albis's board of directors has expressed support for the move.
Both companies share Mitsubishi Corporation as a major shareholder. Following the transaction, Life Corporation aims to make Albis a consolidated subsidiary. Mitsubishi Corporation, which currently holds a 16.62% stake in Albis, does not intend to participate in the tender offer and will remain a shareholder. The process is expected to be completed by late January 2027.
The merger is intended to strengthen competitiveness through scale. Life Corporation, which operates primarily in the Tokyo and Kinki regions, will gain a foothold in the Hokuriku and Chukyo areas through Albis. The companies plan to seek synergies in product procurement, logistics, data utilization, and digital investment. This move supports Life Corporation’s strategic goal to reach 1 trillion yen in revenue by fiscal year 2030.
