LMDV Media proposes takeover of Il Fatto Quotidiano

LMDV Media, an investment firm linked to Leonardo Maria Del Vecchio’s family office LMDV Capital, has authorized a due diligence process to launch a voluntary total takeover bid for Società Editoriale Il Fatto S.p.A. (SEIF), the publisher of Il Fatto Quotidiano. The proposed offer, contingent on the results of the financial audit, aims for a price of 0.286 euros per share, totaling approximately 7.15 million euros. This price represents a premium of roughly 30% over the official share price recorded on October 23, 2026.

The takeover is intended to lead to the delisting of SEIF from the stock exchange. LMDV Media stated its goal is to integrate the publisher's digital innovation expertise while maintaining its editorial independence and current leadership under Marco Travaglio. The move comes amid financial scrutiny, as SEIF's 2025 consolidated balance sheet reported a 2.6 million euro loss and negative net equity of 6.4 million euros.

However, the founding shareholders—including Antonio Padellaro, Cinzia Monteverdi, Francesco Aliberti, Peter Gomez, Marco Travaglio, Marco Lillo, and Luca d'Aprile—have formally rejected the proposal, stating they have no interest in selling their shares. A significant hurdle for the acquisition is SEIF's current bylaws, which limit single shareholder ownership to 17%. To bypass this, LMDV Media's offer is conditional on reaching at least 82.9% of the voting capital.
