Lonza acquires five Merck production sites in the US

Lonza Merck CDMO pharmaceutical manufacturing acquisition

Lonza has signed a definitive agreement to acquire five pharmaceutical contract development and manufacturing organization (CDMO) sites from the German company Merck. The acquisition, valued in the low to mid-triple-digit millions of Swiss francs, includes facilities located in St. Louis, Missouri: Madison and Verona, Wisconsin: Carlsbad, California: and Indianapolis, Indiana.

The transaction will add approximately 1,100 employees to Lonza, increasing its total US workforce to over 6,000 and expanding its US-based CDMO footprint from four to nine sites. Lonza expects the acquired businesses to contribute approximately 250 million Swiss francs in revenue by the 2028 fiscal year.

While the initial EBITDA margin of these sites is expected to be lower than Lonza’s current levels, the company anticipates profitable growth through the utilization of existing capacities and expansion spaces. The deal is expected to close in mid-2027, subject to customary closing conditions, and will be funded via cash from existing resources and existing credit lines.
