Madrid court clarifies separation of family and corporate assets

A recent ruling by the Audiencia Provincial de Madrid has addressed the legal distinction between corporate assets and personal family wealth within family-owned businesses. The court examined a case where a family company funded the personal and property expenses of a majority shareholder for several years, a practice previously accepted by other partners as a historical method of managing family wealth.

The court established that, as a general rule, a company and its partners maintain separate assets. Corporate funds cannot be used for private purposes, even if the beneficiary is the majority shareholder or the original contributor of the capital. Administrators who permit such use may be held liable to the company for any resulting damages.

However, the ruling introduced a nuance regarding good faith: in exceptional circumstances, partners who knowingly accepted these practices for years may be barred from later claiming against the administrator for maintaining them. This protection does not extend to funds that lack proper justification or documentation. The ruling emphasizes that familial trust does not replace the need for formal accounting, social agreements, and documented justifications for every outflow of funds.
