Major US law firms explore private equity investment
Major American law firms, including Paul, Weiss, Quinn Emanuel, and Proskauer, have reportedly held preliminary discussions regarding the introduction of outside private equity capital. Unlike previous instances involving distressed firms, these discussions involve some of the most profitable partnerships in the legal industry.
To navigate ABA Model Rule 5.4, which prohibits non-lawyers from owning law practices, firms are exploring the Management Services Organization (MSO) model. Under this structure, the law firm remains lawyer-owned, while an investor-backed MSO owns the non-legal infrastructure, such as technology, billing, marketing, and real estate, charging the firm fees for these services.
While no formal sale processes have been launched, White & Case has reportedly assigned senior lawyers to study the model. Proponents suggest outside capital could fund artificial intelligence development and lateral acquisitions, though some industry observers suggest the first major deals may come from mid-sized firms rather than marquee corporate names.
