Paramount Skydance negotiates settlement for Warner Bros. Discovery merger
Paramount Skydance and a coalition of 12 state attorneys general are in advanced negotiations to settle an antitrust lawsuit blocking the company’s $110 billion acquisition of Warner Bros. Discovery. The legal challenge, led by California Attorney General Rob Bonta, argues the merger could harm competition in the media market.
Potential settlement terms being discussed include a ‘hold separate’ arrangement where the two companies operate independently until the litigation concludes. Other proposed concessions include a commitment to release at least 30 films theatrically per year, a $1.5 billion investment in California production, and the establishment of an independent editorial board to oversee the news operations of CNN and CBS News.
However, the negotiations have revealed significant divisions among the states. New York Attorney General Letitia James and Connecticut Attorney General William Tong have expressed reservations, seeking stronger guarantees for worker protections and the editorial independence of news outlets. If a settlement is not reached, an antitrust trial is scheduled to begin in March 2027. Paramount currently faces a $7 million daily fee if the deal is not finalized by October 1.
