Mercator to spin off wholesale operations into new company

Mercator, owned by the Croatian Fortenova Group, has submitted a spin-off plan to the District Court in Ljubljana to separate its wholesale operations into a new entity named Mercator Cash&Carry Wholesale.

The new company will take over all 234 employees currently involved in wholesale activities. Fortenova Group, as the sole owner, will acquire the entire share of the new company, maintaining its current capital stake. Following the separation, Mercator will focus on retail, with its share capital reducing from €15.9 million to €14.2 million, while the new entity will have a share capital of just under €1.7 million.

The wholesale division currently supplies retailers, hotels, catering facilities, educational and health institutions, and other business partners across Slovenia through traditional delivery and nine specialized Cash & Carry centers. The restructuring is part of Fortenova's broader strategy to withdraw from non-strategic production and service activities. The new company will be led by the same management team, including Tomislav Đurić and Zvonimir Šimunović.
