Meta announces $95 billion fundraising plan for AI infrastructure

Meta Platforms has announced an ambitious financing strategy to raise up to $95 billion to fund its massive expansion into artificial intelligence infrastructure, including data centers, chips, and cloud computing capacity.

The plan consists of two primary phases. First, the company has launched an initial offering of approximately $35 billion, comprising $22.5 billion in Class A common stock and $12.5 billion in series A depositary shares linked to convertible preferred stock. Following this, Meta plans to initiate a separate at-the-market (ATM) share sale program of up to $60 billion, expected to begin in the first quarter of 2027 once new non-voting Class C shares start trading. This structure allows the company to raise capital while maintaining existing control through its specific share classes.

Major semiconductor companies Nvidia, AMD, and Broadcom have expressed interest in purchasing up to $5 billion of Meta's Class A shares. This move highlights the deepening financial ties between AI chip suppliers and their largest customers.

Despite the fundraising push, Meta reported its first negative free cash flow in over a decade, recording a $2.12 billion deficit for the third quarter. The company has raised its capital expenditure forecast for 2026 to between $135 billion and $145 billion to support its long-term AI goals.
