Metaplanet to acquire controlling stake in Nasdaq-listed Super League

Shareholders of the Nasdaq-listed company Super League Enterprise have approved a strategic transaction that will grant Japanese Bitcoin treasury firm Metaplanet a controlling interest in the company. Upon completion of the deal, which is expected in the fourth quarter of 2026, Super League will rebrand as Superplanet, Inc. and change its ticker symbol to “SUPA”.

As part of the agreement, Metaplanet will contribute 2,100 Bitcoin and $2.5 million in cash through its U.S. subsidiary, Metaplanet Holdings. In exchange, it will receive approximately 44.86 million common shares, convertible perpetual preferred stock, and warrants. This arrangement is expected to give Metaplanet a stake ranging from approximately 93.7% to 95.7% of the company.

The acquisition serves as a vehicle for Metaplanet to expand into the U.S. capital markets. Superplanet will function as Metaplanet’s U.S.-listed Bitcoin treasury platform, allowing the group to raise capital in U.S. dollars to increase its total Bitcoin holdings. Metaplanet currently holds approximately 44,000 BTC. The company plans to utilize preferred stock offerings to fund future Bitcoin purchases rather than relying primarily on traditional debt.
