Metlen Energy & Metals to spin off concessions and PPP business
Metlen Energy & Metals has approved a plan to spin off its Public-Private Partnership (PPP) and concessions business into a new, 100% owned subsidiary named ‘M Parachoreseis Monoprosopia Anonymia Etaireia’. The move is part of an organizational restructuring aimed at consolidating the Group’s infrastructure activities into a single corporate entity to enhance operational focus, achieve economies of scale, and increase financial flexibility.
The transaction includes all assets, liabilities, rights, and obligations related to concession and PPP projects, such as project company holdings, contractual rights, pending tender participations, personnel, and equipment. The net book value of the transferred sector is approximately €105.06 million, based on a reference date of December 31, 2025. Consequently, the share capital of M Parachoreseis will be increased by €105,064,218 through the issuance of new shares to be fully acquired by Metlen.
The valuation of the assets was conducted by Compass Certified Auditors and the plan was filed with the General Commercial Registry on August 24, 2026. The completion of the spin-off is subject to shareholder approval, which is expected to take place by September 30, 2026.
