Méliuz approves R$ 160 million capital reduction and new stock options

Méliuz shareholders have approved a R$ 160 million reduction in the company's social capital during an Extraordinary General Meeting. The company stated the current capital is excessive and intends to transfer the full amount to a capital reserve. This move will reduce the social capital from R$ 519.98 million to R$ 359.98 million without canceling shares or distributing funds to investors. The total number of ordinary shares will remain stable at 104.38 million.

In accordance with the Law of Corporations, the reduction will only take effect 60 days after the publication of the meeting minutes. This decision follows a capital structure reorganization proposal previously announced in September.

Additionally, shareholders approved the Second Stock Option Plan to replace the expired 2020 plan, along with amendments to the Restricted Stock Grant Plan. These measures are part of the company's equity-based compensation policy for executives and eligible beneficiaries.

Regarding recent financial performance, Méliuz reported a consolidated net loss of R$ 22.4 million for the second quarter of 2026, compared to a profit of R$ 7.6 million in the same period the previous year. This loss was driven by a R$ 32.1 million negative accounting impact related to the company's Bitcoin (BTC) portfolio. Excluding this effect, adjusted net profit rose 14% year-on-year to R$ 9.7 million.
