Monte dei Paschi di Siena receives ECB approval for Mediobanca merger

The European Central Bank (ECB) has granted regulatory approval for Monte dei Paschi di Siena (MPS) to proceed with its merger by incorporation of Mediobanca. This decision clears the way for an upcoming shareholder vote scheduled for October 29, where investors will decide on the merger and other strategic reorganizations.

In addition to the merger, the ECB has approved MPS's plans for corporate restructuring, including potential offers for Banco BPM and Banca Generali, which the bank aims to launch by mid-December. The ECB also cleared the suitability of Alessandro Caltagirone and Gianluca Brancadoro to join the MPS board.

The banking developments are occurring amid political debate in Italy. Vice Premier Antonio Tajani has advocated for the privatization of the Treasury's remaining 4.8% stake in MPS, emphasizing that the market should drive banking decisions. Conversely, local Tuscan authorities and government ministers have called for measures to protect the bank's integrity and its headquarters in Siena.

Simultaneously, Intesa Sanpaolo is moving forward with its takeover bid for MPS. Intesa's chairman, Gian Maria Gros-Pietro, expressed confidence in shareholder support for the capital increase required for the offer during an assembly on September 10. He also addressed concerns from local entities, asserting that the bank's autonomy, brand, and headquarters would remain intact following any integration.
