Natura shareholders push for Advent International stake approval and board expansion

Shareholders holding 38.82% of Natura's capital have requested two extraordinary general meetings. The first meeting will consider waiving the mandatory public takeover bid (OPA) that the company's bylaws require for significant share transactions. The second meeting will propose changes to the governance structure, including increasing the size of the board of directors and electing two new directors.

The request follows Advent International’s Lotus FIP Multiestratégia acquiring at least an 8% stake in Natura on the secondary market. Natura said it will disclose the full documentation received, including the shareholder agreement draft and candidate information, and will convene the meetings within the requested timeframe while keeping the market informed of developments.
