Nauticus Robotics signs letter of intent for up to $50 million investment

Nauticus Robotics, a Houston-based developer of autonomous subsea robotic systems and autonomy software, has signed a non-binding letter of intent for a potential strategic investment of up to $50 million.

The proposed private placement equity investment is intended to support the company’s short- and long-term commercial objectives. The transaction involves an undisclosed strategic investor and remains subject to due diligence, negotiation, the execution of definitive agreements, and various closing conditions.

The company’s Board of Directors is currently evaluating the proposal and is considering the engagement of an independent financial advisor. Depending on the final terms, the investment could result in a change of control or dilution for existing stockholders. Nauticus is currently developing underwater robotic vehicles designed to assist commercial and defense customers with subsea infrastructure maintenance, inspection, and data collection using artificial intelligence and specialized algorithms.
