New World Development seeks Shanghai listing for K11 assets via first HK-funded mainland REIT
New World Development has received an acceptance notice from the Shanghai Stock Exchange for its proposed spin-off and listing of a securities investment fund, known as NWD C-REIT. This marks the first mainland China commercial real estate REIT backed by Hong Kong capital.
The fund’s underlying assets consist of two properties wholly owned by the group: the Shanghai K11 Art Mall and the Shanghai K11 ATELIER. The expected issuance scale is approximately 3.818 billion yuan, with the group anticipating net proceeds of about 3.24 billion yuan.
Following the spin-off, New World Development intends to retain at least a 20% stake in the REIT and will continue to serve as the asset manager, providing property and marketing services under the K11 brand. This move is part of a broader strategy to transition toward a ‘light-asset model,’ allowing the company to unlock asset value, improve liquidity, and reduce debt leverage. The group also indicated plans to pursue similar securitization for other upcoming projects, such as the Hangzhou K11 and Shanghai K11 ELYSEA.
