OTPP submits €57.2 million offer for Vivanta dental clinics
The Canadian fund OTPP, owner of the Vitaldent dental network in Spain, has submitted a €57.2 million offer to acquire the Vivanta clinics, which are part of the Aestes group. The offer includes €3 million in cash, €16.5 million in bridge financing, and €36.9 million in pre-paid treatments. Under the proposal, OTPP would integrate 61 Vivanta clinics into the Vitaldent network, assuming the employment of 656 workers and the completion of treatments for over 30,000 patients.
However, the offer contains significant exclusions. OTPP stated it will not assume responsibility for consumer credit debts contracted by patients to pay for treatments, nor will it be liable for any claims regarding malpractice or damages. The fund also excludes Aestes' debts to SEPI, following a €40 million rescue package received in 2022.
In light of the uncertainty facing Vivanta patients due to the suspension of clinic activities, the Organización Colegial Veterinaria (OCV) has called for a state law on healthcare advertising. The OCV argues that aggressive commercial techniques in the health sector can influence clinical decisions and that stricter regulation is needed to ensure advertising is based on scientific evidence and ethics rather than purely commercial interests.
