Paramount and Warner Bros. Discovery merger faces California antitrust challenge

California Attorney General Rob Bonta is leading a coalition of states to block the multi-billion dollar merger between Paramount and Warner Bros. Discovery. Opponents argue that combining two of Hollywood’s five major studios would grant the merged entity control over approximately one-third of nationwide theatrical films and basic cable programming.

Paramount Skydance CEO David Ellison is reportedly seeking ways to clear the deal, including potential political maneuvers to frame Bonta’s legal challenge as being out of step with other Democratic leaders in California. Industry sources suggest the company may threaten to move its Los Angeles studio operations out of the state if a settlement is not reached by October 1.

Proponents of the merger argue that traditional studios must achieve economies of scale to compete against dominant tech giants like Amazon, Apple, and Netflix. Some analysts suggest that if the merger fails, the industry risks being overtaken by technology firms that prioritize tech expertise over film production.
