Paramount Skydance advances $111B Warner Bros. Discovery merger
Paramount Skydance is advancing its $111 billion acquisition of Warner Bros. Discovery following a settlement with 12 state attorneys general. The agreement, led by California Attorney General Rob Bonta, aims to resolve antitrust concerns by mandating increased domestic film production and establishing a News Editorial Independence Board for CNN and CBS News.
Despite the settlement, a federal judge has delayed a final ruling on the consent decree, requesting additional briefing. The Block the Merger Coalition has filed an amicus brief opposing the deal, arguing the terms are insufficient to protect competition and independent journalism.
To finance the transaction, Paramount Skydance is pursuing a $7.5 billion senior secured term loan and approximately $44.4 billion in additional secured debt. The merger, which would place David Ellison at the helm of a massive media empire, is expected to significantly reshape the U.S. entertainment landscape.
