Pininfarina parent company launches tender offer to delist from Euronext Milan
PF Holdings B.V., the controlling shareholder of Pininfarina S.p.A., has launched a voluntary total tender offer to acquire the remaining 21.177% of the company's shares. The offer is set at 1 euro per share in cash, which represents a 20% premium over the official closing price on September 15, 2026, and a premium ranging between approximately 19.7% and 26.9% compared to weighted averages over the last 1, 3, 6, and 12 months.
The primary objective of this move is to delist Pininfarina from Euronext Milan. By removing the company from the regulated market, PF Holdings aims to accelerate industrial and strategic transformations in design, engineering, and sustainable mobility without the constraints of public market regulations.
Pininfarina, a historic Italian brand with over 90 years of activity in the automotive, industrial, and architectural sectors, is currently 78.823% owned by the offeror. The tender offer involves a maximum of 16,660,587 shares. The operation remains subject to the publication of the Offer Document and the fulfillment of standard regulatory conditions.
