Poligrafico and Poste Italiane acquire control of PagoPA platform
Italy’s competition authority has approved the acquisition of the public‑payment platform PagoPA by the Istituto Poligrafico e Zecca dello Stato (Ipzs) and Poste Italiane. Under the deal, Ipzs will hold a 51% stake and obtain exclusive control, while Poste Italiane will retain a 49% minority share. The transaction, valued at up to €500 million, was completed after all conditions, including the antitrust clearance, were satisfied.
The regulator concluded that the new shareholding structure does not threaten competition, and it imposed safeguards to protect data neutrality and prevent discriminatory treatment. Governance will be split between the two owners, with Ipzs appointing three board members, including the CEO, and Poste Italiane appointing two non‑executive directors. The acquisition consolidates two public‑sector entities around a key digital‑payments infrastructure used for taxes, fines, school fees and other public charges.
